To use LiviLeads, you represent and warrant that:

• You are at least 18 years of age and legally competent to enter into binding agreements.
• If registering on behalf of a company, partnership, or enterprise, you possess the requisite authority to bind that entity to these Terms.
• All registration information submitted (including email, phone number, and business details) is accurate, current, and truthful.
• You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

LiviLeads supports multiple account hierarchies:

When using LiviLeads, you explicitly agree NOT to:

• Upload, transmit, or distribute fraudulent, defamatory, infringing, or illegal leads, documents, or content.
• Use the platform to send unsolicited spam communications, bulk marketing in violation of anti-spam laws, or malicious phishing links.
• Reverse-engineer, decompile, disassemble, or extract source code from the LiviLeads platform.
• Scrape, spider, crawl, or harvest platform content or user data using automated scripts without express written consent.
• Interfere with or compromise the security, integrity, or operational performance of the servers, networks, or connected databases.

You retain 100% ownership of all leads, client databases, quotations, purchase orders, inventory catalogs, business documents, and trade records that you input or upload into LiviLeads ("Customer Data").

You grant LiviLeads a limited, non-exclusive, worldwide license solely to host, process, transmit, back up, and display your Customer Data strictly to the extent necessary to provide the platform functionality and technical support to you.

All software, interface designs, logos, graphics, icons, algorithms, databases, codebases, APIs, and documentation comprising LiviLeads are the proprietary intellectual property of Livease Technologies and its licensors, protected by copyright and intellectual property laws.

LiviLeads provides automated tools for generating quotations, proforma invoices, tax invoices, and tracking inventory items.

Access to certain business features, user seat tiers, or storage quotas may require an active paid subscription:

• Billing Cycles: Subscription fees are billed in advance on a monthly or annual basis as specified in your selected tier.
• Automatic Renewals: Unless cancelled prior to renewal date, subscriptions automatically renew at the current published price.
• Taxes: All quoted prices are exclusive of applicable statutory taxes unless explicitly indicated otherwise.
• Refund Policy: Payments are generally non-refundable once a billing cycle begins, except as required by law or specified in a formal enterprise contract.

We make reasonable commercial efforts to ensure 24/7/365 availability. However, service availability may be temporarily interrupted for scheduled maintenance, emergency security patches, or events beyond our reasonable control (force majeure).

We reserve the right to suspend or terminate your account immediately if you breach these Terms, engage in fraudulent or abusive activities, or fail to pay subscription dues when due. You may terminate your account at any time via your account settings.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LIVILEADS, LIVEASE TECHNOLOGIES, OR ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF REVENUE, PROFITS, DATA, OR BUSINESS REPUTATION) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM. OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE PRECEDING TWELVE (12) MONTHS.

You agree to defend, indemnify, and hold harmless LiviLeads, its affiliates, directors, employees, and agents against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your Customer Data, or your unauthorized use of the platform.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Livease Technologies operates, without giving effect to any conflict of law principles. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts in that jurisdiction.

We may revise these Terms from time to time. If a revision materially alters your rights, we will notify you through the platform or via email. By continuing to use the platform after such updates take effect, you agree to be bound by the updated terms.
